1. Project Scope
1.1 The complete project scope, modules, features, and deliverables will be defined in the requirement document.
1.2 Any changes requested after scope approval will be treated as “Change Requests” and will incur additional charges.
1.3 The company is not responsible for delays caused due to incomplete or late inputs from the client.
2. Payment Terms
2.1 Standard payment structure: 40% Advance + 40% During Development + 20% After Final Delivery.
2.2 All payments must be cleared before the final handover.
2.3 All payments are non-refundable under any circumstances.
3. Development Timeline
3.1 Project timelines are estimates and may vary depending on client inputs and approvals.
3.2 The company may extend timelines in case of technical issues or unavoidable circumstances.
4. Ownership & Intellectual Property
4.1 Source code, design files, and admin access will be provided only after full payment is received.
4.2 The company retains the right to use the completed project in its portfolio for promotional purposes.
4.3 The client receives a usage license, not ownership of proprietary tools, frameworks, or internal components.
5. Maintenance & Support
5.1 Basic support (1–3 months) will be provided as per the agreement.
5.2 Bug fixing is free during support duration; new features or modifications are chargeable.
5.3 Annual Maintenance Contract (AMC) can be purchased separately.
6. Confidentiality
6.1 Both parties must maintain confidentiality of project data, documents, and source code.
6.2 The company will not disclose client information to any third party without written consent.
7. Third-Party Services
7.1 Domain, hosting, cloud, SMS APIs, payment gateways, licenses, or any third-party services must be paid by the client.
7.2 The company is not responsible for downtime, errors, or issues caused by third-party systems.
8. Testing & Acceptance
8.1 User Acceptance Testing (UAT) must be completed by the client before finalization.
8.2 Issues raised during UAT will be resolved; however, new features will not be considered bugs.
9. Termination
9.1 Either party may terminate the contract with written notice.
9.2 Payments for work completed before termination must still be made by the client.
10. Limitation of Liability
The company is not liable for any indirect, incidental, or consequential losses, including revenue loss or business interruption. |
